We advise on the preparation and implementation of option and share incentive programmes for employees and management, both in mature organisations and start-ups. We support clients in negotiating the terms and conditions of shares acquisition, also from the perspective of corporate governance and exit plans.

Incentive programmes

For many years, we have been designing incentive schemes that effectively support employers’ business goals and are in line with labour law. We have developed both bonus systems and extensive option programmes and non-wage benefits. Our experience includes not only the creation of documents, but also training for HR departments, management boards and executives.

Option programmes

We have developed an option programme for employees of a start-up in the gaming industry, including the possibility of deferred acquisition of shares in a simple joint-stock company.

ESOP

We supported the portfolio companies of a capital fund in designing and implementing incentive programmes for management, based on EBITDA results and taking into account lock-up conditions (ESOP).

Reward and bonus systems

We created deferred reward rules aimed at retaining staff for the Polish branch of an international bank. We supported a Polish manufacturer in developing a bonus system for manual workers.
