Many businesses assume that terminating an agency agreement also brings all settlements with the agent to an end.<\/p>\n
\ud83d\udc49 That is not always true.<\/p>\n
The Civil Code provides situations in which an agent can successfully claim commission after the relationship has ended.<\/p>\n
The agent may claim commission if:<\/p>\n
\ud83d\udd35 the customer\u2019s proposal to conclude a contract reached the agent or the principal before the agency agreement ended;<\/p>\n
\ud83d\udd35 the contract itself was concluded after termination.<\/p>\n
\ud83d\udc49 What matters is when the relationship was initiated, rather than when the contract was signed.<\/p>\n
Importantly, actions such as the following may be sufficient:<\/p>\n
\u25aa\ufe0f contacting the customer;<\/p>\n
\u25aa\ufe0f beginning discussions;<\/p>\n
\u25aa\ufe0f arranging a meeting.<\/p>\n
Commission may also be payable where:<\/p>\n
\ud83d\udd35 the contract was concluded mainly as a result of the agent\u2019s activities;<\/p>\n
\ud83d\udd35 it was concluded within a reasonable time after the agency agreement ended.<\/p>\n
\ud83d\udccc What does \u201ca reasonable time\u201d mean?<\/p>\n
This depends, among other things, on the industry, the length of the sales process and how customers make decisions.<\/p>\n
\ud83d\udccc A typical situation<\/strong><\/p>\n The agent acquires a customer, arranges meetings and initiates negotiations.<\/p>\n The relationship with the agent then ends.<\/p>\n Two months later, the customer signs a contract without the agent\u2019s involvement.<\/p>\n \ud83d\udc49 The agent\u2019s absence from the conclusion of the contract does not itself mean that no commission is due. If the contract primarily resulted from the agent\u2019s earlier activities, the agent may successfully claim commission.<\/p>\n \u26a0\ufe0f The crucial issue: evidence<\/strong><\/p>\n The agent must demonstrate:<\/p>\n \u25aa\ufe0f what activities they undertook;<\/p>\n \u25aa\ufe0f that those activities had a significant influence on the conclusion of the contract.<\/p>\n \ud83d\udc49 Without this, the commission claim may fail.<\/p>\n \u2696\ufe0f Can the agreement exclude these rules?<\/strong><\/p>\n Generally, no.<\/p>\n \ud83d\udc49 The parties may depart from the Civil Code rules only in a way more favourable to the agent.<\/p>\n \ud83d\udccc Conclusion<\/strong><\/p>\n Terminating an agency agreement does not always bring dealings with the agent definitively to an end.<\/p>\n In some cases, an obligation to pay commission may emerge only after the relationship ends.<\/p>\n Before terminating, therefore, consider:<\/p>\n \u25aa\ufe0f the stage reached in discussions with customers acquired by the agent;<\/p>\n \u25aa\ufe0f which activities the agent has already documented;<\/p>\n \u25aa\ufe0f the settlement rules in the agreement itself.<\/p>\n
