As a general rule, no.<\/p>\n

However, the legislature provides two exceptions.<\/p>\n

1\ufe0f\u20e3 The agent terminated the agreement because of circumstances relating to the principal.<\/h2>\n

Examples include:<\/p>\n

\ud83d\udd35 an unjustified reduction in commission;<\/p>\n

\ud83d\udd35 delays in paying commission due;<\/p>\n

\ud83d\udd35 the principal\u2019s difficult economic situation;<\/p>\n

\ud83d\udd35 the principal losing its main supplier;<\/p>\n

\ud83d\udd35 unjustified allegations by the principal against the agent.<\/p>\n

\u26a0\ufe0f Importantly, the reason need not justify terminating the agreement with immediate effect.<\/p>\n

2\ufe0f\u20e3 The agent terminated the agreement because of their age, infirmity or illness.<\/h2>\n

In this case, equitable considerations must additionally mean that the agent cannot reasonably be required to continue performing the agency activities.<\/p>\n

\u26a0\ufe0f Simply invoking illness, age or infirmity is therefore insufficient. It must affect the agent\u2019s ability to perform the agency agreement.<\/p>\n

These circumstances should be assessed in light of the particular agreement and the obligations it imposes on the agent. An agent performing several agreements at the same time may find that their health justifies terminating only some of them.<\/p>\n

Relevant factors may include:<\/p>\n

\ud83d\udd35 the need for business travel;<\/p>\n

\ud83d\udd35 the number and scope of required customer meetings;<\/p>\n

\ud83d\udd35 whether employees can be used to perform the agreement.<\/p>\n

Termination by the agent generally results in the loss of the right to an indemnity. Exceptions do exist, however. In a dispute, the agent bears the burden of proving that an exception applies in the particular case.<\/p>\n","protected":false},"excerpt":{"rendered":"
