Complex share capital operations
The DJP team has advised on dozens of share capital operations, including capital increases exceeding several dozen million PLN, as well as share redemptions combined with share capital reductions.
Corporate mergers
We have comprehensively and efficiently carried out a number of corporate mergers, including in the flooring manufacturing, tourist services distribution, film production (merger of three companies) and telematics services industries. Thanks to careful planning and attention to the implementation stage, the mergers were completed in the shortest possible time.
Corporate transformations and divisions
We have carried out, among other things, an effective division by spinning off a company in the computer game distribution industry and the related transformation of a limited liability company into a joint-stock company, the transformation of a limited partnership in the electronic components manufacturing industry into a limited liability company, the transformation of a limited partnership in the car body manufacturing industry into a joint-stock company, and the transformation of a limited liability company in the medical analysis industry into a joint-stock company.
Implementation of shareholders' agreements in corporate documents
We have drafted articles of association reflecting complex shareholder arrangements on corporate governance, including the preparation of articles of association for an insurance distribution company in connection with our client’s investment in the company. We have also drafted articles of association for companies in the medical analysis, car body manufacturing and pharmacy industries in connection with our client’s (a financial investor) investments, providing for the issue of convertible bonds and prepared articles of association for companies in the home care services industry in connection with an investment by third parties, providing for the issue of subscription warrants.
